The Board has overall responsibility for:

  • Overseeing the effective management and control of the Group on behalf of Brambles' shareholders; and
  • Supervising executive management's conduct of the Group's affairs within a control and authority framework that is designed to enable risk to be prudently and effectively assessed and monitored.

The Board has established three standing committees to assist in the execution of its responsibilities: the Audit Committee; the Nominations Committee; and the Remuneration Committee.

Each of the Board's standing committees operates under a Charter detailing its delegated authority from the Board.

Regular reports of the Committees' activities are provided to the Board and minutes are circulated to all Directors. In addition, the Board is supported by the Executive Leadership Team, which is a management committee.
